1. Agreement to These Terms

By accessing or using the Site, you agree to these Website Terms of Use (“Terms”) and our Privacy Policy. If you do not agree, do not use the Site.

These Terms apply to the informational website and waitlist only. Additional terms will apply if and when membership, trading, or other services launch.

2. Soft Launch; Informational Only; Waitlist Is Not Membership

The Site is a soft launch. Content is for general information and marketing about a planned community exchange concept.

Joining the waitlist does not:

Guarantee membership, early access, or invitation
Create any right to trade, earn, hold, or redeem Lotus$ (or “Lotus Cash”)
Create an account, wallet, bank relationship, or investment relationship with Operator

Operator may modify, delay, or cancel the launch or waitlist at any time.

3. No Offer of Securities, Banking, Money Transmission, or Cash-Redeemable Stored Value

Nothing on the Site is:

An offer to sell, or solicitation to buy, securities
An offer of banking, deposit, or insured account services
An offer of money transmission or cash-out services
An offer of cash-redeemable stored value or a prepaid access product redeemable for U.S. dollars from Operator

Do not rely on Site content as investment, legal, tax, or financial advice.

4. Lotus$ / “Lotus Cash” — High-Level Description Only

References to Lotus$ (also called “Lotus Cash” in marketing) are high-level and conceptual only at this stage:

Intended (when an exchange opens) as internal trade credits for goods and services among members under future club / exchange rules
Not legal tender
Not a bank account or deposit
Not an investment product
Not redeemable for U.S. dollars from Operator
Any “≈ $1 of listed value” language is a listing/pricing convention only, not a peg, guarantee, or claim of cash value against Operator

Full club / exchange rules will be published later before any live trading. Until then, treat all Lotus$ descriptions as illustrative marketing, not product terms.

5. Eligibility

You must be at least 18 years old and capable of entering a binding agreement to use the Site or join the waitlist. The Site is directed to users in the United States, with a California orientation.

6. Waitlist Sign-Up

If you submit your name and email:

You represent that the information is accurate
You consent to receive waitlist / early-access communications (you may unsubscribe as described in those messages or by contacting us)
Submission does not create membership or trading rights (see Section 2)

Our collection and use of your information is described in the Privacy Policy.

7. User Conduct

You agree not to:

Use the Site in violation of law
Attempt to probe, scan, or disrupt the Site or others’ access
Scrape or harvest data except as allowed by robots rules or our prior written consent
Misrepresent your identity or affiliation
Upload malware or harmful code
Use the Site to send spam or unauthorized promotions

We may suspend or block access for suspected violations.

8. Intellectual Property

The Site—including text, branding, logos, layout, and graphics—is owned by Operator or its licensors and protected by intellectual property laws. Except for limited viewing for personal, non-commercial use of the waitlist Site, you may not copy, modify, distribute, or create derivative works without prior written permission.

“Lotustay,” “Lotustay Exchange,” “Lotus$,” and related marks are used to identify the project; rights remain with the respective owners.

9. Third-Party Links

The Site may link to third-party websites, including Lotustay.com. We do not control and are not responsible for third-party content, policies, or practices. Links are not endorsements.

10. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPERATOR DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, error-free, or secure, or that waitlist participation will result in membership or any particular outcome.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPERATOR AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR WAITLIST.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPERATOR’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU PAID OPERATOR (IF ANY) TO USE THE SITE IN THE TWELVE MONTHS BEFORE THE CLAIM—WHICHEVER IS GREATER. (The waitlist is free; in most cases the cap will be US $100.)

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted.

12. Indemnity

You agree to defend, indemnify, and hold harmless Operator and its officers, directors, employees, and agents from and against reasonable claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your misuse of the Site; (b) your violation of these Terms; or (c) your violation of any law or third-party right—except to the extent caused by Operator’s willful misconduct or gross negligence.

13. Governing Law and Venue

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law rules.

Exclusive venue for disputes arising out of or relating to these Terms or the Site shall be the state or federal courts located in Orange County, California, and you consent to personal jurisdiction there—unless applicable law requires otherwise (including any non-waivable consumer venue rights).

14. Changes

We may update these Terms by posting a revised version on the Site and updating the Effective Date. Continued use after changes constitutes acceptance, except where additional consent is required by law.

15. Severability; Entire Agreement

If any provision is found unenforceable, the remaining provisions remain in effect. These Terms and the Privacy Policy are the entire agreement between you and Operator regarding the Site and waitlist, and supersede prior conflicting website terms for this Site.
